1. Acceptance of Terms
By accessing or using the Thinking Code AI website (https://www.thinkingcode.ai/) or engaging our product engineering services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access our website or use our services.
2. Services Overview
Thinking Code AI provides specialized product engineering, platform modernization, and operational AI enablement for US TPA and Insurance teams. Our engagements typically take the form of Discovery Sprints, Dedicated Engineering Pods, or Project Delivery.
Specific deliverables, timelines, and fees will be governed by a separate mutually executed Statement of Work (SOW) or Master Services Agreement (MSA). In the event of a conflict between these Terms and an executed SOW/MSA, the SOW/MSA will prevail.
3. Your Responsibilities and Accountabilities
- Accurate Information: You agree to provide accurate, current, and complete information during your inquiry and engagement processes.
- Lawful Use: You shall not use our site or services to conduct any unlawful business or infringe upon third-party rights.
- Data Rights & PHI/PII: Because our services integrate with core insurance platforms, you are solely responsible for ensuring you have the necessary consents, rights, and regulatory approvals (including HIPAA compliance) to share any Customer Data, PHI, or PII with our engineering teams.
- Security Testing: You may not perform any technical security integrity reviews, penetration tests, or vulnerability scans on our hosted infrastructure without Thinking Code AI's prior written consent.
4. Intellectual Property
Customer Data: You retain all rights, title, and interest in all data, documentation, and workflows you provide to us. You are solely responsible for the accuracy, legality, and appropriateness of this data.
Thinking Code AI IP: Thinking Code AI retains all rights, title, and interest in our pre-existing intellectual property, methodologies, and frameworks. Custom deliverables shipped during an engagement will be assigned to you as explicitly detailed in the respective SOW.
5. Confidentiality
Both parties may exchange sensitive business, technical, or regulatory information (“Confidential Information”). Both parties agree to keep disclosed information strictly confidential, use it solely to fulfill obligations under these Terms or an active SOW, and protect it with reasonable care. PII and PHI are strictly classified as Confidential Information.
6. AI and Operational Guardrails (Disclaimer)
Thinking Code AI implements “Human-in-the-loop” (HITL) processes, audit trails, and configurable guardrails when deploying AI workflows. However, AI technologies are inherently probabilistic. You acknowledge that AI-generated outputs are for decision support and must be subject to human review gates for sensitive decisions. Thinking Code AI is not liable for business decisions, claim payouts, or coverage determinations made by your staff based on the outputs of the integrated platforms.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THINKING CODE AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR WEBSITE OR SERVICES.
8. Modifications to Services and Terms
We reserve the right to enhance, update, or modify our website, service offerings, and these Terms at our sole discretion. We will notify you of any material changes to these Terms by updating the date at the top of this page.
